The L’Oréal Paris True Match Memory Game

PROMOTION PERIOD: The L’Oréal Paris True Match Memory Game (the “Promotion”) starts on April 11, 2012 at 12:00 AM Eastern Time (“ET”) and ends on July 11, 2012 at 11:59PM ET (“Promotion Period”). The Promotion will be divided into ninety two (92) daily entry periods (each, a “Daily Entry Period”). For the purpose of these Participation Terms, a Daily Entry Period will begin at 12:00 AM ET and end twenty four (24) hours later at 11:59PM ET.

ELIGIBILITY: Promotion is open only to legal residents of the 50 United States or D.C., 18 years or older, except employees of L’Oréal USA, Inc. (“Sponsor”), Facebook, Inc. (“Facebook”), and each of their respective parents, affiliates, subsidiaries, distributors, sales representatives, and advertising and promotion agencies, and the immediate families (spouse, parent, child, or sibling and their respective spouses, regardless of where they reside) or household members of any such employee, whether or not related.  Sponsor reserves the right to verify the eligibility of winners.  Void in Puerto Rico, outside the U.S. and where prohibited. This Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook. By participating in this Promotion, you understand that you are providing your information to Sponsor and not to Facebook.

HOW TO PARTICIPATE:

A. Find your True Match Shade: During the Promotion Period, visit www.lorealparisusa.com/truematchgame and follow the directions provided to answer the questions provided and find your True Match shade.

B. Play the True Match Memory Game: To play the game, visit www.lorealparisusa.com/truematchgame and follow the directions provided to register and provide your True Match shade. You are not required to register or enter your True Match Shade to play the game; however, you will not be eligible to win a prize if you do not provide your True Match shade or register to play the game. You may also connect to True Match Matching Game via Facebook. You are not required to connect via Facebook to play the game; however, you will not be eligible to earn certain points if you do not connect via Facebook. After registering and providing all required information, you can play the game to earn points (“Points”), as outlined below. If a participant has earned the highest number of Points for a particular Daily Entry Period and he/she has not already provided his/her True Match shade and connected to the game via Facebook, such participant will be prompted to do the following: (i) indicate his/her True Match shade by completing the process at www.lorealparisusa.com/truematchgame or by selecting his/her True Match shade nu selecting it from a drop down menu; and (ii) follow the directions to register. If such participant has already connected to the game via Facebook, his/her registration form will be populated with the data provided via Facebook Connect.

True Match Memory Game Overview
The True Match Memory Game is an online matching game consisting of three (3) rounds. There will be ten (10) sets of matching cards in each round. Participants will be required to identify two matching cards in order. If the cards are correctly matched, the cards will be eliminated and the participant will be permitted to match the next set of cards until the round is complete. The time permitted to match all twenty (20) cards will decrease as follows:

• Round 1: 90 seconds
• Round 2: 75 seconds
• Round 3: 60 seconds

Participants will be able to earn Points in each round based on their performance. See the Earning Points chart below for more details about earning Points. In addition, certain special cards (“Special Cards”) will modify the game. For a description of Special Cards, please see the Special Cards section below. Registrations and Points (as defined below) generated by script, macro, bot, or other automated means or practices and registrations and Points earned by any means which subvert the participation process will be void. Limit one (1) prize per person and per email address for the entire Promotion Period, regardless of number of game plays. During the Promotion Period, a leaderboard will indicate the participants with the top 5 scores for the applicable Daily Entry Period, the top 5 scores for the entire Promotion, and the winning score for the applicable Daily Entry Period.

EARNING POINTS: During the game, you can earn points (“Points”) as follows:

*If at any time during a round, any 2 cards are not matched correctly, the multiplier will reset to 1.

SPECIAL CARDS: The following Special Cards may be included in each game:

AWARD RECIPIENT DETERMINATION: For each Daily Entry Period, the participant with the highest number of Points will be deemed a potential Award Winner. In the event of a tie, the participant who earned the highest number of Points first during that Daily Entry Period will be deemed the potential Award Recipient for the Daily Entry Period at issue.  Points received by participants for one Daily Entry Period will not carry over into other subsequent Daily Entry Period Point totals.  Sponsor reserves to revoke and/or void Points that are earned by any means which subvert the participation process and/or which are otherwise not in compliance with these Participation Terms. Sponsor reserves the right not to select any Award Recipient for any Daily Entry Period if, in its sole discretion, a sufficient number of eligible and qualified participants do not participate during that Daily Entry Period.

AWARD RECIPIENT NOTIFICATION: Potential Award Recipients will be notified by email and may be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within seven (7) days of date appearing on prize notification. Return of Award notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact the potential Award Recipient within a reasonable time period or noncompliance with these Participation Terms by the potential Award Recipient will result in disqualification and, at Sponsor’s sole discretion, the Award may be awarded to a runner-up for the Daily Entry Period at issue. Limit one (1) Award per person for the entire Promotion.

AWARDS (92) (1 PER DAILY ENTRY PERIOD): A L’Oréal Paris Product Package consisting of L’Oréal Paris products to be determined by Sponsor in its sole discretion. Approximate Retail Value (“ARV”): $67 each. Total ARV of all Awards: $6,164.  Awards are provided “as is” with no warranty or guarantee, either express or implied by Sponsor. Award recipients may not substitute, assign or transfer Award or redeem Award for cash, but Sponsor reserves the right, at its sole discretion, to substitute Award (or portion thereof) with one of comparable or greater value.  Award recipients are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with Award acceptance and use not specified herein as being provided.  All Award details are at Sponsor’s sole discretion.

GENERAL CONDITIONS:  By participating, each participant agrees: (a) to abide by these Participation Terms and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Promotion; (b) to release, discharge and hold harmless Sponsor, Facebook and each of their respective parents, affiliates, subsidiaries, distributors, sales representatives, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participant’s participation in the Promotion or the acceptance, possession, use or misuse of any Award; and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from participant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.

MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Points or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the tabulation of Points, the announcement of the Awards, or in any Promotion-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion.  Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Promotion or downloading materials from or use of the website.  Persons who tamper with or abuse any aspect of the Promotion or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Participation Terms, as solely determined by Sponsor, will be disqualified and all associated Points will be void. Should any portion of the Promotion be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of the Promotion, Sponsor reserves the right at its sole discretion to terminate the Promotion and, if terminated, at its discretion, to select the potential Award Recipient(s) from all eligible, non-suspect Points received for the applicable Daily Entry Period(s) at issue prior to action taken using the Award Recipient determination procedure outlined above. Released Parties’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.  Should multiple users of the same e-mail account enter the Promotion and dispute thereafter arise regarding the identity of the participant, the authorized account holder of said e-mail account at the time of registration will be considered the participant. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Participation Terms, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. In addition, any dispute relating to the Promotion (including these Participation Terms) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the City and County of New York. Participants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.  CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
