Please read these rules before entering the Sweepstakes. By entering and participating in the Sweepstakes, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements set forth below. The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook. You are providing your information to Sponsor and not to Facebook. If you have questions about this Sweepstakes, please direct your questions to Sponsor rather than Facebook. 1. Eligibility. Participation in the Red Lobster “Mother’s Day Daily Giveaway” sweepstakes (“Sweepstakes”) is open only to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older as of the date of entry and who did not purchase any equipment for purposes of entering the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations, and is void elsewhere and where prohibited or restricted by law. Employees, officers and directors of GMRI, Inc. d/b/a Red Lobster (“Sponsor”), its advertising and promotions agencies, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. 2. Timing. The Sweepstakes begins at 9:00:00 am Eastern Time (“ET”) on April 30, 2012, ends at 5:00:00 pm ET on May 11, 2012 (“Promotion Period”), and consists of twelve (12) phases as outlined in the chart below. How to Enter During the Promotion Period, you must visit and “Like” the Red Lobster page on Facebook.com (www.facebook.com/RedLobster) (“Sponsor’s Page”). Once you have liked Sponsor’s Page, you are eligible to enter the Sweepstakes and you may access the “Mother’s Day Daily Giveaway” application (“Sweepstakes Application”) on the Facebook platform by clicking on the link to the Sweepstakes Application on Sponsor’s Page, or by accessing the Sweepstakes Application directly at [INSERT LINK]. To enter the Sweepstakes during an individual phase of the Promotion Period, you must fully complete the online entry form on the Sweepstakes Application (including name, address, email address and birth date), read and agree to the Official Rules, input your required submission, and click the “submit” button (the “Entry”). You must complete a separate Entry for each phase of the Promotion Period that you wish to enter. All entry information and submissions shall be collectively referred to herein as the “Submissions” or each as a “Submission.” Sponsor reserves the right to cancel or modify this Sweepstakes in the event an insufficient number of entries are received that meet the minimum judging criteria. By entering the Sweepstakes, all Entrants grant their permission to have their name/likeness used by Sponsor pursuant to these Official Rules. All entrants must have a valid email address. Limit one entry per person/email address per each phase of the Promotion Period. No automated entry devices and/or programs permitted. All entries, including any Submissions, become the sole and exclusive property of Sponsor and receipt of entries will not be acknowledged or returned. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed Submissions are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor. You must be a registered user of Facebook and you must comply with Facebook’s Terms of Use in order to enter the Sweepstakes. 4. Random Drawing/Odds. One winner will be selected in a random drawing from all eligible Submissions for each separate phase of the Promotion Period. Odds of winning depend on the number of eligible entries received for the drawing. By entering the Sweepstakes, entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of the judges, which will be final and binding in all matters relating to the Sweepstakes. 5. Prizes: Twelve (12) prize winners will receive a $50 Red Lobster gift card and one bouquet of flowers. ARV of all prizes combined: $80 USD. All gift card terms and conditions apply. Prizes are non-transferable. No substitutions or cash redemptions. If in the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. All taxes and unspecified expenses are the sole responsibility of the winners. Delivery of prizes requires a street address (no P.O. Boxes). 6. Notification. Potential winners will be notified on or about after the close of each phase of the Promotion Period by phone or email and may be required to sign and return, where legal, an Affidavit of Eligibility and Liability/Publicity Release within five (5) days of prize notification. If winner cannot be contacted, if any prize is returned as undeliverable, or in the event of noncompliance with these Official Rules, the prize will be forfeited and an alternate winner will be selected, time permitting. Upon prize forfeiture, no compensation will be given.
Limit one prize per person or household. 7. License/Usage. By entering the Sweepstakes, entrants fully and unconditionally agree to be bound by these Official Rules, which will be final and binding in all matters relating to the Sweepstakes. By entering a Submission each entrant grants Sponsor an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, sublicense or otherwise commercially and non-commercially exploit the Submission. Submissions may be cut, edited, reformatted, rearranged, combined with other materials and/or otherwise modified, in Sponsor’s sole and absolute discretion. Entrant understands that Submission may, but is not required to be, displayed for public viewing and judging, if applicable, as part of the Sweepstakes. In addition, by entering, entrants agree to the use of their names, likenesses, biographical information, Submissions and/or statements for purposes of advertising, trade, or promotion without further compensation, unless prohibited by law. As a condition to receiving any prize, each winner may be required to execute an assignment transferring and assigning all of their respective rights, title and interest, including but not limited to any copyrights or trademarks, in the Submission, or other intellectual property included therein. 8. Release. By participating, entrants and winners agree to release and hold harmless Sponsor, Facebook and their respective advertising and promotion agencies, and each of their parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (the “Released Parties”), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Neither Sponsor nor its parents, affiliates, subsidiaries, agencies, divisions nor related companies are responsible for any damages, taxes, or expenses that winners might incur as a result of this Sweepstakes or receipt of prize. Entrants who do not comply with these Official Rules, or attempt to interfere with this Sweepstakes in any way, may be disqualified. 9. Additional Terms. In case of dispute as to identity of entrant, Submissions will be declared made by the authorized account holder of the email address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Any attempted form of entry other than as set forth above is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. Sponsor, Facebook, each of their affiliates, partners and Sweepstakes and advertising agencies are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Sweepstakes, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Sweepstakes should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In case of termination, Sponsor will select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. Sponsor is not responsible if Sweepstakes cannot take place or if any prize cannot be awarded due to acts of God, acts of war, natural disasters, weather or acts of terrorism. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Limitations of Liability: The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Sweepstakes; (d) printing, typographical, technical, computer, network or human error which may occur in the administration of the Sweepstakes, the uploading, the processing or judging of Submissions or votes or the tabulating of votes, the announcement of the prizes or in any Sweepstakes-related materials; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. Released Parties are not responsible for any unauthorized third party use of any Submission. If for any reason an entrant’s Submission is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is the ability to upload another Submission into the Sweepstakes, provided that if it is not possible due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may determine the potential winners from all of the eligible Submissions received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. Disputes: Entrant agrees that, unless otherwise prohibited: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal court located in Orange County, Florida; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Florida without giving effect to any choice of law or conflict of law rules. 10. Use of Data. Sponsor will be collecting personal data about entrants online, in accordance with its privacy policy. By participating in the Sweepstakes, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy. 11.
